Terms of Service

These Terms of Service ("Terms") govern the provision of services by Wiselab Group OÜ (registration number 16449802, Tallinn, Estonia, EU — "Wiselab", "we", "us") to clients ("you", "Client").

By engaging our services or signing a project proposal, you agree to these Terms. If you represent a company, you confirm you have authority to bind that company.

Wiselab provides web development, web application development, e-commerce solutions, SEO, paid advertising management, and social media marketing services.

The specific scope, deliverables, timeline, and price for each project are defined in a written proposal or statement of work ("Proposal") agreed upon by both parties. In case of conflict, the Proposal takes precedence over these Terms.

A project begins when both parties have agreed to a Proposal in writing (email confirmation is sufficient) and the deposit has been received.

Proposals are valid for 14 days from the date of issue unless otherwise stated. We reserve the right to withdraw a Proposal if it has not been accepted within this period.

Unless stated otherwise in the Proposal, the following payment schedule applies:

— 50% deposit before work begins — 50% upon project completion, before final delivery or launch

For ongoing retainer services, invoices are issued at the beginning of each month and due within 14 days.

Late payments may incur interest at 0.05% per day after the due date, in accordance with Estonian law. We reserve the right to pause work on overdue accounts.

Upon receipt of full payment, all intellectual property rights in the final deliverables — including design files, source code, and written content produced by Wiselab — transfer to the Client.

Until full payment is received, all work remains the property of Wiselab. We retain the right to use completed work in our portfolio and promotional materials unless the Client requests otherwise in writing.

Third-party components (open-source libraries, licensed fonts, stock images) remain subject to their respective licences. We will notify you of any third-party components included in your project.

Timely delivery of this project depends on your participation. You agree to:

— Provide necessary content, assets, and access credentials promptly — Review and provide feedback within the timeframes agreed in the Proposal — Ensure that any materials you supply do not infringe third-party rights

Delays caused by late client feedback or missing materials may extend the project timeline. We are not liable for such delays.

Both parties agree to keep confidential any non-public information received from the other party in connection with the project. This obligation continues for 2 years after the end of the engagement.

A separate Non-Disclosure Agreement (NDA) is available on request for projects involving sensitive business information.

To the maximum extent permitted by law, Wiselab's total liability for any claim arising from or related to our services shall not exceed the total fees paid by the Client for the relevant project in the 3 months preceding the claim.

We are not liable for indirect, incidental, or consequential damages — including lost revenue, lost data, or business interruption — even if we have been advised of the possibility of such damages.

We warrant that our services will be performed with reasonable skill and care, and that deliverables will substantially conform to the agreed Proposal.

We do not warrant specific business outcomes (such as search ranking positions or advertising conversion rates), as these depend on factors outside our control.

If a deliverable does not conform to the Proposal, we will correct it at no additional charge, provided you notify us in writing within 14 days of delivery.

Either party may terminate a project engagement with 14 days' written notice.

Upon termination by the Client, you are liable for payment of all work completed up to the termination date, calculated pro-rata against the agreed project fee.

Upon termination by Wiselab (for example, in cases of non-payment or breach of these Terms), we will deliver all completed work to date upon receipt of outstanding payment.

These Terms are governed by the laws of the Republic of Estonia. Any disputes shall be resolved in the courts of Tallinn, Estonia.

For clients in the European Union, mandatory consumer protection rights under applicable EU law remain unaffected by these Terms.

We may update these Terms from time to time. Updated Terms apply to new engagements entered into after the date of the update. For ongoing projects, we will notify you of material changes with at least 14 days' notice.
